For Investors on FoundersCash Platform

This Agreement ("Agreement") is made between FoundersCash, a micro-seed investment facilitation platform (hereinafter referred to as "the Platform"), and the undersigned Investor, who wishes to participate in investment opportunities introduced and facilitated by FoundersCash.
By registering on FoundersCash, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

1. Purpose

To define the terms under which FoundersCash connects registered investors with verified startups and business founders ("Fund Seekers") seeking micro-seed capital up to ₹10,00,000 through its hybrid online platform and live pitching events.

2. Eligibility

To register as an investor on FoundersCash:

  • You must be an Indian citizen, NRI, or legal entity authorized to invest in India.
  • You must complete the KYC verification process as required by the platform.
  • You must be financially competent and aware of the inherent risks in startup investments.
  • Institutional or group investors must provide proof of authorization for investment activities.

3. Platform Role

  • FoundersCash acts as a facilitator and intermediary connecting investors and fund seekers.
  • FoundersCash does not guarantee any specific return, performance, or profitability of the businesses presented.
  • All investments are at the investor's sole discretion.
  • FoundersCash provides visibility, due diligence assistance, event facilitation, and documentation templates but is not liable for business or financial outcomes.

4. Investment Process

  1. Investors will be introduced to verified and shortlisted startups through the platform and during FoundersPitch Live events.
  2. Once an investor decides to invest, they must sign a Declaration of Intent specifying the investment amount and agreed model (Equity / Convertible Note / Revenue Share).
  3. The committed investment amount shall be deposited into the official current account of FoundersCash for verification and transaction record purposes.
  4. FoundersCash will release the investment to the selected startup's registered business account (Private Limited / LLP) only during the pitching event or after final documentation, in the presence and consent of the investor.
  5. If the investor agrees to fund only a portion of the required amount, only that portion will be disbursed accordingly.

5. Documentation & Legal Structure

  1. FoundersCash provides standard legal templates (Investment Agreement, Convertible Note, Revenue Share Agreement, etc.) for investor use.
  2. Investors are encouraged to seek independent legal advice before signing any agreement.
  3. FoundersCash is not liable for the execution, enforcement, or post-funding interpretation of agreements between parties.

6. Service Charges

  1. A 2% service charge on the investment amount shall be payable to FoundersCash at the time of fund transfer to the fund seeker during the pitching event.
  2. The service charge may be deducted directly before disbursement of the investment.
  3. All investors are required to join the FoundersCash Investors Club, which carries a lifetime membership fee.
  4. Applicable GST or statutory taxes will be charged in addition to the service charge and membership fee.

7. Fund Management

  1. All investor funds are temporarily held in the FoundersCash current account for verification and structured disbursement.
  2. The platform maintains clear records and receipts for every investment transaction.
  3. No investment shall be transferred to unregistered individuals or non-compliant entities.
  4. The cheque or transfer will be made only in the name of the startup's registered Private Limited or LLP entity.

8. Investor Exit Options

Investors may negotiate and finalize their exit model directly with the startup, which may include:

  • Founder Buyback Agreement
  • Next-round Exit (at revised valuation)
  • Revenue Share or Convertible Note repayment

FoundersCash may facilitate documentation support but holds no responsibility for exit execution or outcomes.

9. Confidentiality

All project proposals, pitch materials, and financial details shared through FoundersCash are confidential and must not be disclosed to third parties without prior written consent.
Breach of confidentiality may lead to legal action and termination of membership.

10. Liability & Risk Disclaimer

  1. Startup investments are inherently risky and may result in partial or complete capital loss.
  2. FoundersCash does not provide any guarantee, assurance, or insurance on invested funds.
  3. The investor acknowledges full understanding and acceptance of associated risks.
  4. FoundersCash shall not be held liable for business performance, fund misuse, or any loss resulting from investment decisions.

11. Refund Policy

  1. Service fees or membership charges paid to FoundersCash are non-refundable under any circumstances.
  2. In case no suitable investment opportunity is identified within 12 months from the date of joining, the investor may:
    • Renew the FoundersCash Investors Club membership without paying any additional membership fee, or
    • Discontinue participation from the platform by providing a written withdrawal notice addressed to FoundersCash.
  3. Upon receipt and approval of the written withdrawal notice, FoundersCash will refund and transfer the full or remaining amount (if the investor has partially invested during the membership period) to the officially recorded bank account of the investor, after standard verification and compliance checks.
  4. The refund will be processed within 30 working days of acknowledgment of the withdrawal notice.

12. Conduct & Compliance

  • Investors must engage professionally with fund seekers and platform representatives.
  • Unethical behavior, direct solicitation outside the platform, or breach of platform trust may lead to termination of access.
  • All investments must comply with Indian taxation, FEMA, and SEBI guidelines where applicable.

13. Legal Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India.

14. Acceptance

By signing or registering on the FoundersCash platform, the Investor acknowledges and agrees to abide by all terms and conditions mentioned above.
